By using the Florajet.ca website, you legally accept the entirety of the 25 SECTIONS and terms of service and use, as well as the RETURN AND EXCHANGE POLICY of Florajet.ca (website) and Florajet Inc. (the company).

Welcome to Florajet.ca! The terms "we", "us", and "our" refer to Florajet Inc. Florajet Inc. operates this store and this website, including all information, content, features, tools, products, and related services, to provide you, the customer, with a personalized shopping experience (hereinafter the "Services"). Florajet.ca is a store powered by Shopify, which allows us to provide the Services to you.

The Terms of Use below, along with all related policies (the "Terms of Service" or "Terms"), describe your rights and responsibilities when using the Services.

Please read these Terms of Service carefully, as they contain important information about your legal rights and cover areas such as disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or this Privacy Policy, you must not access or use our Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you give us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including accessing or browsing our online stores, or purchasing any of the products or services we offer, you may be required to provide certain information, such as your email address, and billing, payment, and shipping information. You represent and warrant that all information you provide in our stores is accurate, current, and complete, and that you have all necessary rights to provide such information.

You are solely responsible for maintaining the security of your account credentials and for all activities that occur under your account. You are not authorized to transfer, sell, assign, or license your account to any other person.

SECTION 2 – OUR PRODUCTS

Florajet.ca strives to ensure as close a resemblance as possible to our product images. However, if certain flowers are unavailable (due to season or region), they will be replaced by flowers of similar color, style, and value to preserve the overall harmony of the arrangement. We may not be able to notify you in advance of a substitution. Rest assured that our team will always choose the most beautiful flowers available.

We have made every effort to display as accurately as possible the products and services in our online stores. However, please note that the colors or appearance of products may differ from how they appear on your screen due to the type of device you are using to access the store, as well as your device's settings and configuration.

We do not warrant that the appearance or quality of any products or services you purchase will meet your expectations or will be exactly as described or rendered in our online stores.

All product descriptions are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any product we offer to any person, geographic region, or jurisdiction, on a case-by-case basis.

SECTION 3 – ORDERS AND CONTRACT FORMATION

To the fullest extent permitted by applicable laws (including the Civil Code of Quebec and the Consumer Protection Act CQLR, c. P-40.1), the following provisions apply:

3.1 Automated Confirmations and Contract Formation: When you place an order, you are making an offer to purchase. The sending of an automated confirmation email upon validating a transaction only confirms the receipt of your request (the offer) and the initial processing of your payment. In accordance with the principles of contract formation set out in article 1388 of the Civil Code of Quebec, this automated email does not in any way constitute a legal and final acceptance of the sales contract by the merchant, nor an absolute guarantee of delivery. Florajet.ca reserves the right to accept, decline, or cancel any order after this automatic confirmation is sent (notably in the event of technical failure, system maintenance, pricing error, or geographic constraints). Should we not accept, modify, or cancel an order, we will attempt to notify you by contacting the email address, billing address, and/or phone number provided at the time the order was made.

3.2 Resolution of Delivery Failures and Restitution: In the event that an order cannot be fulfilled, Florajet.ca's primary obligation is to inform the Buyer and proceed with the cancellation of the transaction, accompanied by the issuance of a full refund, in compliance with the obligation of restitution provided for in article 1699 of the Civil Code of Quebec (restitution of prestations) and article 54.13 of the Consumer Protection Act. Although this refund order is issued immediately by our systems, bank processing times (5 to 10 business days) are beyond our control.

3.3 Limitation of Foreseeable Damages and Liability: Given the nature of our service, Florajet.ca cannot guarantee the emotional outcomes related to a delivery. Except in cases of gross or intentional fault on our part (subject to article 1474 of the Civil Code of Quebec), our liability is strictly limited to the refund of the amounts paid. Furthermore, in accordance with article 1613 of the Civil Code of Quebec, which stipulates that a party is only bound to compensate for damages that were foreseeable at the time the contract was formed, Florajet.ca formally disclaims any liability for indirect damages, moral, emotional, or psychological damages, health impacts, personal inconvenience, or recipient disappointment. The Buyer assumes full responsibility if they announce a delivery to a third party solely based on an automated receipt acknowledgment.

3.4 Returns and Exchanges: You represent and warrant that your purchases are for your personal or household use and not for commercial resale or export; your purchases may only be returned or exchanged in accordance with our Refund Policy.

SECTION 4 – PRICING AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be stated in your order confirmation email. Unless otherwise indicated, displayed prices do not include taxes, shipping and handling charges, or customs and import duties.

Prices displayed in our online stores may differ from prices offered in physical stores or in online or other stores operated by third parties. We may, from time to time, offer promotions on the Services that may affect pricing and are governed by Terms of Use separate from these Terms. In the event of a conflict between the terms of a promotion and these Terms, the promotion terms will prevail.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you supply is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable shipping and handling charges and taxes, if any.

SECTION 5 – SHIPPING AND DELIVERY

We are not responsible for shipping and delivery delays. All shipping times are estimates and are not guaranteed. We are not liable for delays caused by freight carriers, customs processing, or events beyond our control. Once we hand the products over to the carrier, the title and risk of loss transfer to you.

SECTION 6 – INTELLECTUAL PROPERTY

Our Services, including, but not limited to, all registered trademarks, trademarks, texts, displays, images, graphics, product reviews, videos, and audios, as well as the design, selection, and arrangement thereof, are the property of Florajet Inc., its affiliates, or its licensors and are protected by Canadian and foreign patent, copyright, and other intellectual property laws.

These Terms authorize you to use the Services for personal, non-commercial purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or should be construed as granting any license or other rights to you under any patent, trademark, copyright, or other intellectual property of Florajet Inc., Shopify, or any third party. Unauthorized use of the Services may violate federal and national intellectual property laws. All rights not expressly granted herein are reserved by Florajet Inc.

The names, logos, product and service names, designs, and slogans of Florajet Inc. are registered trademarks of Florajet Inc. or its affiliates or licensors. You must not use such marks without the prior written consent of Florajet Inc. Shopify's name, logo, product and service names, designs, and slogans are registered trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may provide you with access to third-party customer tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be subject to these Terms of Service.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Florajet.ca is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases you make in our Store are directly with Florajet.ca. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and Florajet.ca, including any harm, damage, or loss resulting from the products and services purchased. You hereby expressly release Shopify and its affiliates from any claims, damages, and liability arising from or relating to your purchases and transactions with Florajet.ca.

SECTION 10 – PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, available here, and certain personal information may be subject to Shopify's Privacy Policy, available here. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the services to provide and improve the Services for you. The information you submit to the Services will be transmitted to and shared with Shopify, as well as third parties who may be located in countries other than your country of residence, in order to provide the services to you. Furthermore, you agree not to (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites, or the Internet. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we believe you have violated any part of these Terms.

We may terminate this agreement or your access to the Services (or any part thereof) at our sole discretion, at any time and without notice, and you will remain liable for all amounts due up to and including the date of termination.

The following sections will survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that, by its nature, should survive termination.

WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 16 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO CASE SHALL FLORAJET INC. AND FLORAJET.CA, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Florajet Inc. and Florajet.ca, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, made by any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third-party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify you will not relieve you of your obligations unless you are materially prejudiced thereby. We may control the defense and settlement of such claim at your expense, including the choice of counsel, but we will not settle any claim requiring non-monetary obligations on your part without your consent (which shall not be unreasonably withheld). You will cooperate in the defense of indemnified claims, notably by providing relevant documents.

You and Florajet Inc. consent to the venue and personal jurisdiction of these courts.

WHICH AFFECT YOUR RIGHTS REGARDING THE RESOLUTION OF CLASS ACTION DISPUTES AND THE TIME YOU HAVE TO FILE A DISPUTE AGAINST (FLORAJET.CA website) and (FLORAJET INC. company) its owners, our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers.

Billing and Payments

You must pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.
